These Terms of Service (“Terms”) govern your access to and use of the website www.clicglass.com (the “Site”) operated by CLiC® Glass, a product of Cardinal IG Company, a subsidiary of Cardinal Glass Industries, Inc. (“Cardinal IG,” “CLiC Glass,” “we,” “us,” or “our”). By accessing or using the Site, you represent that you are at least 18 years of age and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site.

You may use the Site only for lawful purposes and in accordance with these Terms. The CLiC Glass name, the CLiC Glass logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cardinal Glass Industries, Inc. or its affiliates. You must not use such marks without the prior written permission of Cardinal Glass Industries, Inc. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site except as expressly permitted by these Terms or with our prior written consent.

All product descriptions, specifications, images, and other content on the Site are provided for general informational purposes only. By submitting any User Submission, you grant CLiC Glass a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that you own or control all rights in and to your User Submissions and that your User Submissions do not violate the rights of any third party, including privacy, publicity, intellectual property, or other personal or proprietary rights, and do not contain any material that is defamatory, obscene, or otherwise unlawful.

When you visit the Site, submit a form, or send us an email, you are communicating with us electronically. WITHOUT LIMITING THE FOREGOING, NEITHER CLIC GLASS NOR ANYONE ASSOCIATED WITH CLIC GLASS REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CARDINAL IG COMPANY, CARDINAL GLASS INDUSTRIES, INC., OR THEIR RESPECTIVE AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, ANY CONTENT ON THE SITE, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You agree to defend, indemnify, and hold harmless Cardinal IG Company, Cardinal Glass Industries, Inc., and their respective affiliates, subsidiaries, licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your use of the Site, your User Submissions, or your violation of any rights of a third party.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Site (collectively, “Disputes”), shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect, except as modified by this section. The arbitration shall take place in Hennepin County, Minnesota, before a single arbitrator. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own attorneys’ fees and costs in connection with the arbitration, except that Cardinal IG will pay any arbitration filing fees, arbitrator compensation, and administrative costs that exceed the amount of a court filing fee in Hennepin County, Minnesota, to the extent required for this arbitration agreement to be enforceable under applicable law. If the arbitrator determines that any claim is frivolous, the arbitrator may award the prevailing party its reasonable attorneys’ fees and costs.

YOU AND CLIC GLASS AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Claims that qualify for small claims court in Hennepin County, Minnesota, may be brought in that forum in lieu of arbitration.

These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms (including for injunctive relief or small claims), you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Hennepin County, Minnesota, and you waive any objection to such jurisdiction or venue on the grounds of inconvenient forum or otherwise.

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by a court or other tribunal of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.

No waiver by CLiC Glass of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CLiC Glass to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of CLiC Glass. Any attempt by you to assign or transfer these Terms without such consent will be null and void. CLiC Glass may freely assign or transfer these Terms without restriction and without notice to you. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

CLiC Glass shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including, without limitation, acts of God, natural disasters, pandemic or epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information technology infrastructure, cyberattacks, or power outages. In the event of a force majeure event, our obligations under these Terms will be suspended for the duration of the event.

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and CLiC Glass regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when posted on this page and apply to all access to and use of the Site thereafter. The “Last Updated” date at the top of this page indicates when these Terms were last revised. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.
